Your Responsibilities
Sole Responsibility for Content and Use
You are solely responsible for all content you submit (including prompts and reference images), for all AI-generated content you use or distribute, and for ensuring that your use of the Service and any outputs complies with applicable laws and third-party rights. - Create, upload, or distribute content that is defamatory, harassing, discriminatory, or that promotes violence or harm
- Generate or distribute content that exploits or endangers minors, or that depicts or promotes abuse
- Impersonate any person or entity or create misleading or deceptive content (e.g. deepfakes) without clear disclosure where required by law

- Interfere with or overload the Service, or create multiple accounts to evade restrictions
We may remove content, suspend or terminate accounts, and report activity to authorities as we deem necessary, without prior notice where appropriate. We are not obligated to monitor all content but may do so to enforce these Terms and comply with law.
See our concise Safety Rules summary and our Enforcement & Legal Remedies framework for practical guidance and enforcement examples.
Public Figures and Likeness Risk
You must not create misleading, defamatory, fraudulent, political persuasion, or non-consensual explicit content involving celebrities, public figures, or private individuals.
You are solely responsible for rights, permissions, and legal clearances for any likeness-based use. High-risk misuse may result in immediate suspension and abuse escalation.
Representations, Warranties, and Cooperation Duties
You represent, warrant, and undertake on an ongoing basis that:
- You have all rights, permissions, and lawful basis for each input and downstream use.
- Your use does not violate law, sanctions, privacy, publicity, IP, contract, or platform policy.
- You will provide accurate information in compliance, abuse, billing, and legal processes.
- You will reasonably cooperate with investigations of security, abuse, fraud, and legal complaints.
Breach of these warranties may result in immediate enforcement action, including suspension, termination, evidence preservation, and legal remedies.
AI-Generated Content and Intellectual Property
Status of AI Outputs
The legal status of AI-generated content (including copyright and ownership) varies by jurisdiction and is evolving. We do not represent or warrant that any output is protectable, non-infringing, accurate, or suitable for any use. You use outputs at your own risk and are solely responsible for ensuring your use complies with applicable laws and third-party rights.
Your Content and License to Us
- We do not claim ownership of content you create using the Service. You retain rights in your inputs to the extent you have them.
- You grant us a worldwide, non-exclusive, royalty-free license to use, store, process, display, and transmit your content only as necessary to provide, operate, secure, and improve the Service and to comply with law.
Commercial Use by Plan
Licence rights in Generated Outputs depend on your active subscription plan (Free, Starter, Premium, Professional, or Ultra). See the Commercial Use Matrix.
Copyright and Rights Complaints
Rights holders can submit notice and counter-notice requests under our Copyright Notice Policy.
Our Intellectual Property
The Service, including our platform, software, algorithms, APIs, design, and all related intellectual property, is owned by us or our licensors. You receive only a limited, non-exclusive, non-transferable right to access and use the Service in accordance with these Terms. You may not copy, modify, distribute, reverse engineer, or create derivative works of our technology, or use our trademarks or branding without our prior written permission.
Refunds and Failed Generations
Credits are intended to be consumed after successful output delivery. Technical failures, duplicate billing, or outages may qualify for credit restoration or refund as described in our Refund Policy.
Payment and Subscriptions
Fees for subscriptions and other paid features are as stated on our website or at checkout. By subscribing, you authorize us to charge your chosen payment method on a recurring basis until you cancel.
Key Terms
- Fees are charged in advance (e.g. monthly or annually). All fees are non-refundable except where required by applicable law or as we expressly state in a separate refund policy.
- We may change prices with reasonable notice (e.g. 30 days). Continued use after the change constitutes acceptance.
- You may cancel your subscription at any time; cancellation takes effect at the end of the current billing period. No refunds for partial periods unless required by law.
- Payments are processed by third-party providers (e.g. Stripe). We do not store full payment card details. You must provide valid payment information; failed payments may result in suspension or termination of access.
- Some purchases are sold through Sold through Link, LLC (“Link”), a Stripe affiliate that acts as merchant of record: Link takes the payment, collects any applicable sales tax or VAT, and issues your receipt, and your card statement shows Link. The Service is still provided by XUSLABS LTD under these Terms.
- You are responsible for any applicable taxes. We may terminate or suspend accounts for non-payment or breach of these Terms.
Included Image Benefits (Unlimited and Free Gen)
- Some paid plans include image benefits that use no credits: Unlimited (Premium and Ultra) and Free Gen monthly allowances (Starter, Premium and Ultra). Which plans, models, resolutions, tools and counts are included is stated on the Pricing page at the time of purchase and may differ by plan.
- Unlimited is available only during the first 7 days of each membership month (on annual plans, each monthly period is counted from your subscription start). Free Gen allowances renew each membership month. Unused allowances and unused Unlimited days do not carry over, have no cash value and are not refundable.
- Benefit requests are processed through a queue. Processing times vary and are not guaranteed. The number of requests that can run at once or wait in your queue is limited per plan; requests above that limit are declined and you can submit them later.
- Benefits require an active, paid subscription in good standing. If your subscription is cancelled, refunded, past due or downgraded, new benefit requests stop (for cancellation at period end, at the end of the paid period). Requests already accepted are completed. Referral, gifted or trial access does not include these benefits.
- Benefits are for your own, manual use inside the Service. You must not submit requests through scripts, bots or other automation, share or pool accounts, or circumvent queue or plan limits. If we reasonably believe an account is doing so, or is placing a disproportionate load on the Service, we may suspend that account's Unlimited or Free Gen access while credit-based generation remains available; we will tell you, and you can contact support to review the decision.
- We may change the models, resolutions or tools covered by a benefit, for example when a provider retires a model, by offering a comparable alternative. We may otherwise change or withdraw a benefit with at least 30 days' notice; a change does not affect the paid period you are already in, and if a change materially reduces what you paid for, you may cancel and receive a pro-rata refund of the remaining period. The general right to modify the Service without notice does not apply to these benefits. See also our Refund Policy.
Refer & Earn (Referral Program)
Refer & Earn lets you invite people to the Service with your personal link or code and earn studio credits when they use it. It is run by XUSLABS LTD under these Terms. The current rewards, limits and timings are shown on the Refer & Earn page in the Studio and summarised below.
- Who can take part. You need an account in good standing and must be 18 or over. A person you invite counts only if they are new to the Service: they open your link before creating their first account (the link is remembered on their device for 30 days) or enter your code within 7 days of creating their account, they do not already have a paid plan, and they have not already joined with someone else's invite. Each account can be referred only once. A further account opened by someone who already has one does not count.
- How rewards are earned. First creation: when your friend makes their first generation paid with credits or a Pass, you earn 15 credits, up to 3 such rewards per calendar month. Subscription: when your friend pays for their first subscription, a reward pool is set by the plan they choose (currently 50 to 1,250 credits); you choose your friend's share (20% to 80%) and receive the rest. The reward is held for 14 days and is released only if your friend still has a paid plan at the end of that period. Renewals, upgrades and credit packs do not create further rewards. Milestones: when the subscription rewards of 5, 10, 15 and 20 of your friends have been released, you receive the bonus credits and unlocks shown on the Refer & Earn page. Your rewards appear as “Ready to Claim” and are added to your balance when you claim them; your friend's share is added to their balance automatically.
- Fair use. You must not: refer yourself or any account you own, control or share, including accounts opened with other or aliased email addresses; create, buy or arrange accounts, or use bots or other automation, to earn rewards; pay or give anything outside the program to people to sign up or subscribe; send spam or unsolicited bulk messages, or give us other people's contact details; bid on our name in paid search or other advertising, or present yourself as us; or make false or misleading claims about the Service or the rewards. If you share your link or code publicly (for example on social media, in a video or on a blog), you must make clear that you may receive a reward, for example by putting “#ad” at the start of the post.
- Checks and holds. To keep the program fair we compare signals such as the IP address and browser details recorded when accounts are created, and account activity, as described in our Privacy Policy. If a reward appears to be linked to a breach of these rules, we may hold it while we review it, normally for no more than 30 days, and we show this on the Refer & Earn page. Sharing a home or a network with the person you invited is not by itself a breach. A person reviews every held reward before it is cancelled, and you can ask us to look at a decision again by contacting support.
- If the rules are broken. We may cancel rewards obtained through the breach (including rewards that are held or ready to claim), remove credits already added from those rewards (never more than the rewards obtained), remove milestone benefits that depended on them, and suspend your use of Refer & Earn. For serious or repeated breaches we may also act under “Termination”.
- Credits. Rewards are studio credits. They are not cash, have no cash value, cannot be sold, transferred or exchanged for money, and are treated as bonus credits under our Refund Policy. Once a subscription reward has been released after the 14-day hold, it is final unless it was obtained through a breach of these rules.
- What the other person sees. If you join with someone's invite, they can see your first name, the first letter of your last name, and whether your account has triggered a reward (for example, that you made your first creation, or subscribed and to which plan). They cannot see your creations, uploads or payment details.
- Changes and ending the program. Refer & Earn has no fixed closing date. We may change rewards, limits or these rules, or end the program, by giving at least 30 days' notice on the Refer & Earn page or by email. Rewards earned or held before a change takes effect are honoured on the terms that applied when they were earned. We may suspend the program or change a rule without notice only where this is needed to stop abuse, correct an error, or comply with the law or a regulator; rewards already earned are still honoured unless they were obtained through a breach of these rules.
- Separate agreements. If we have agreed separate written terms with you (for example, a creator partnership), those terms apply where they differ from this section.
- Nothing in this section affects your statutory rights.
Assumption of Risk and No Professional Advice
You acknowledge that AI systems may produce inaccurate, biased, offensive, or otherwise unsuitable outputs. You assume full risk for reviewing, validating, editing, publishing, licensing, and distributing any output.
- The Service does not provide legal, medical, financial, employment, or regulatory advice.
- You must obtain independent professional advice before high-impact or regulated use cases.
- You are solely responsible for legal clearances, disclosures, labels, and compliance duties in each jurisdiction.
Beta Features and Experimental Functionality
We may offer beta, preview, early-access, or experimental features. These may be incomplete, unstable, or changed/removed at any time.
- Beta features are provided strictly as-is, with no uptime, performance, or compatibility guarantees.
- Data submitted to beta features may have different limits and support coverage.
- We are not liable for losses arising from beta feature interruption, failure, or deprecation.
Feedback and Suggestions License
If you submit ideas, suggestions, feedback, or feature requests, you grant us a perpetual, irrevocable, worldwide, royalty-free right to use, modify, publish, and commercialize that feedback without restriction or compensation.
AI-Specific Terms and Output Characteristics
Nature of AI-Generated Content
AI-GENERATED OUTPUTS ARE PRODUCED BY AUTOMATED STATISTICAL SYSTEMS. OUTPUTS MAY BE SIMILAR OR IDENTICAL TO OUTPUTS PRODUCED FOR OTHER USERS, MAY RESEMBLE EXISTING WORKS, MAY CONTAIN ERRORS, ARTEFACTS, BIASES, OR OFFENSIVE MATERIAL, AND MAY NOT BE UNIQUE, ORIGINAL, ACCURATE, OR FIT FOR ANY PURPOSE. WE DO NOT REPRESENT THAT ANY OUTPUT IS FREE FROM THIRD-PARTY RIGHTS CLAIMS.
No Training by Us
We do not use your uploaded images, prompts, or generated outputs to train, fine-tune, or improve any AI or machine-learning model. The AI providers that process them for us do so under their own business terms; our Privacy Policy says, provider by provider, what those terms allow. This commitment does not restrict us from using aggregated, de-identified, non-reversible usage statistics for service operation and improvement.
Synthetic Media Labelling
Marking AI-generated content is our obligation, not yours. Where the law requires the provider of a generative system to disclose that an output is artificially generated, that duty sits with us. We tell you inside the product that an image or video was AI-generated, and we are working towards embedding a machine-readable marker in the files themselves.
Your obligation is different and narrower: do not present an output as something it is not. Do not pass off a generated image as an unedited photograph, as a real event that happened, or as the act or endorsement of a real person. Some platforms also ask you to tick an "AI-generated" box when you upload; follow the rules of the place you publish in.
Output Similarity and Non-Exclusivity
Due to the probabilistic nature of AI systems, outputs generated for you may be similar or identical to outputs produced for other users or may resemble pre-existing works. We do not guarantee uniqueness or exclusivity of any output regardless of your subscription tier. You accept this inherent characteristic of AI generation.
U.S.-Specific Dispute Provisions
CLASS ACTION AND JURY TRIAL WAIVER
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU AND WE EACH WAIVE THE RIGHT TO A JURY TRIAL AND THE RIGHT TO PARTICIPATE IN A CLASS ACTION, COLLECTIVE ACTION, PRIVATE ATTORNEY GENERAL ACTION, OR OTHER REPRESENTATIVE PROCEEDING OF ANY KIND. YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.
Informal Resolution Requirement
Before initiating any formal legal proceedings, you agree to first contact us and attempt to resolve the dispute informally for at least thirty (30) days. If informal resolution fails, either party may pursue remedies available under these Terms. This requirement does not prevent either party from seeking injunctive or other equitable relief to prevent irreparable harm.
If any part of this section is found to be unenforceable in your jurisdiction, only that specific provision is severed; the remainder of these Terms remains in full force and effect. These provisions apply in addition to, and do not override, the England and Wales governing law clause for users outside the U.S.
Electronic Communications and Notices
By using the Service, you consent to receive communications from us electronically (including email, in-app notifications, and notices posted on the Service). You agree that all agreements, notices, disclosures, and other communications we provide electronically satisfy any legal requirement that such communications be in writing.
Notices to us must be sent to the contact email or address listed in these Terms. Notices we send to you are effective when dispatched to the email address associated with your account or when posted on the Service.
Third-Party Beneficiaries and No Agency
These Terms do not create any third-party beneficiary rights except as expressly required by applicable law. Nothing in these Terms creates a joint venture, partnership, employment, or agency relationship between you and us. Neither party has authority to bind the other or incur obligations on the other's behalf.
Survival
The following sections survive termination or expiration of these Terms: Intellectual Property, License to Us, Disclaimers, Limitation of Liability, Indemnification, Governing Law, Dispute Resolution, Injunctive Relief, Claim Window, Confidentiality, Export Controls, Feedback License, and any other provisions that by their nature are intended to survive.
Disclaimers and Limitation of Liability
"As Is" Service
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY. WE DO NOT GUARANTEE THAT THE SERVICE OR ANY AI OUTPUTS WILL MEET YOUR REQUIREMENTS, BE ERROR-FREE, OR FREE OF INFRINGEMENT. YOU USE THE SERVICE AND ALL OUTPUTS AT YOUR OWN RISK.
Exclusion of Damages
TO THE MAXIMUM EXTENT PERMITTED BY LAW, XUSLABS LTD, AIFACECRAFT, AND OUR AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING LOSS OF PROFITS, DATA, REVENUE, OR BUSINESS OPPORTUNITY, OR COST OF SUBSTITUTE SERVICES) ARISING OUT OF OR RELATED TO THESE TERMS, THE SERVICE, OR YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
Cap on Liability
OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS BEFORE THE CLAIM AROSE, OR (B) ONE HUNDRED POUNDS STERLING (GBP 100). SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES; IN SUCH CASES, OUR LIABILITY IS LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW. NOTHING IN THESE TERMS EXCLUDES OR LIMITS OUR LIABILITY FOR DEATH OR PERSONAL INJURY CAUSED BY OUR NEGLIGENCE, FRAUD, OR ANY OTHER LIABILITY THAT CANNOT BE EXCLUDED BY LAW.
Indemnification
You agree to indemnify, defend, and hold harmless XUSLABS LTD, AIFACECRAFT, and our affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Service; (b) your breach of these Terms; (c) any content you submit or any use you make of AI-generated content; (d) your violation of any law or third-party rights; or (e) any activity under your account. We reserve the right to assume exclusive defense and control of any matter subject to indemnification by you, at your expense. This obligation survives termination of these Terms and your use of the Service.
Claim Window and Procedural Limits
To the maximum extent permitted by law, any claim arising out of or relating to the Service must be brought within one (1) year from the date the claim arose; otherwise it is permanently barred.
Nothing in this clause limits non-excludable statutory rights or mandatory limitation periods that apply under consumer or data protection law.
Termination
By you: You may close your account at any time via account settings or by contacting us. Cancelling a subscription stops future charges but does not automatically delete your account. You remain responsible for fees incurred before termination.
By us: We may suspend or terminate your access to the Service immediately, with or without notice, if you breach these Terms, for non-payment, or for any other reason at our discretion. We are not liable to you or any third party for any suspension or termination.
Effect: Upon termination, your right to use the Service ends. You must cease all use and, where we request, delete copies of content obtained from the Service. We may retain and use your data as described in our Privacy Policy (e.g. for legal compliance or legitimate business purposes). Sections that by their nature should survive (including disclaimers, limitation of liability, indemnification, and governing law) will remain in effect.
B2B and Bespoke Services
Enterprise, agency, API, and custom engagements may be governed by separate agreements (MSA/SOW/DPA). Where those agreements conflict with these consumer terms, the signed B2B agreement controls for that scope.
Export Controls and Sanctions Compliance
You represent that you are not located in, organized under, or ordinarily resident in a jurisdiction subject to comprehensive trade sanctions that would prohibit your use of the Service, and you are not a denied or restricted party under applicable export control laws.
You must not use, export, re-export, transfer, or permit access to the Service or outputs in violation of applicable export controls, sanctions, or embargo laws.
Injunctive Relief and Equitable Remedies
You acknowledge that unauthorized use of the Service, infringement of our intellectual property, abuse of platform security, or misuse of confidential information may cause irreparable harm for which monetary damages may be inadequate.
We may seek injunctive or equitable relief, in addition to any other remedies available at law, without posting bond where legally permitted.
Governing Law and Disputes
These Terms and any dispute or claim arising out of or in connection with them or the Service shall be governed by the laws of England and Wales, without regard to conflict of law principles. The courts of England and Wales shall have exclusive jurisdiction to settle any such dispute or claim, except where mandatory consumer protection laws in your country of residence give you the right to bring proceedings in your local courts or under different law. Nothing in these Terms affects your statutory rights as a consumer.
General Provisions
Policy hierarchy: If there is any inconsistency between these Terms and another public policy page, these Terms control unless that policy expressly states otherwise for a defined scope (for example, a signed enterprise agreement, DPA, or regional mandatory law notice).
Entire agreement: These Terms, together with the Privacy Policy and any other policies we reference, constitute the entire agreement between you and us regarding the Service and supersede any prior agreements.
Changes: We may modify these Terms at any time. We will give notice of material changes (e.g. by email or prominent notice on the Service). Your continued use after the effective date of changes constitutes acceptance where permitted by law. If you do not agree, you must stop using the Service.
Severability: If any provision is held invalid or unenforceable, the remaining provisions remain in effect. We may replace an invalid provision with one that is valid and closest to the original intent.
Waiver: Our failure to enforce any right or provision does not waive that right or provision. Any waiver must be in writing.
Assignment: You may not assign or transfer these Terms or your rights without our prior written consent. We may assign these Terms (e.g. in connection with a merger or sale) without restriction.
Force majeure: We are not liable for any failure or delay in performing our obligations where caused by circumstances beyond our reasonable control (e.g. natural disaster, war, terrorism, pandemic, government action, or failure of third-party infrastructure).
